INTRODUCTION

The use of the website scan2remember.com, which is an e-commerce website that enables, among other things, the purchase of various memorial products (hereinafter: the "Website" or the "Service") is subject to the terms of use detailed below (hereinafter: "Terms of Service") including the provisions of the Privacy Policy and subject to all applicable law. Use of the Website constitutes explicit agreement on your part (hereinafter: "User" or "Customer") to these terms.

Use of the Website is for lawful purposes only and is permitted only to users who are legally competent or to corporations.

The purpose of these Terms of Service is to clarify the relationship between the Website operator, Scan2Remember, business license number 558474689 (hereinafter: "Scan2Remember" or "Company") and every person and/or entity entering the Website and/or using Scan2Remember's services. Use of the Website constitutes your agreement to these provisions and terms and your commitment to act according to them. If you do not agree to all Terms of Service, do not use the Website. Scan2Remember reserves the right to terminate your use of the Website if you do not comply with one or more of the Terms of Service.

These Terms of Service determine your access to the Website and apply to all use you make of it, including information, content, and services appearing on it or in links to other information sources provided on it or through it, as well as any information transmission, and constitute the legal basis for any engagement or action you take in this framework.

Scan2Remember reserves the right to terminate your use of the Website if you do not comply with one or more of the Terms of Service detailed below, and reserves the right to update the Terms of Service from time to time, at its sole discretion and without the need to provide any prior notice. It is clarified that the binding and determining version of the Terms of Service is the version published on the Website at the time of your use of the Website. Therefore, before performing any action on the Website, you are requested to read, carefully, the Terms of Service, including the Privacy Policy. If you do not agree to all Terms of Service, please refrain from any use of the Website.

In the Terms of Service and all texts appearing on the Website, singular language also means plural and vice versa, and masculine language means feminine and vice versa, all according to context. The Terms of Service are written in masculine language for convenience only and contain no harm and/or discrimination of any kind.

These Terms of Service constitute the entire agreement between the parties and supersede any agreement, proposal, or representation made previously, in writing or orally, regarding its subject matter. In any case of contradiction and/or incompatibility of any kind between the Website content and the provisions of the Terms of Service, the provisions of the Terms of Service will prevail and apply.

It is clarified that Scan2Remember may change and/or discontinue at any time the Website's activity in whole or in part at its sole discretion and without any need for prior notice, without users having any claims against it for this reason.

The Service is active at all hours of the day and all days of the week, and can be used including purchasing products at any time. However, it is possible that the Website will be down due to malfunctions not under Scan2Remember's control that may occur at any time and/or due to various maintenance work and/or other reasons, and users will have no claims against Scan2Remember for this reason.

It is clarified that there may be changes in the contact details mentioned above and in Scan2Remember's availability times at its sole discretion and without prior notice, and users will have no claims against it for this reason.

DEFINITIONS

"Content" means the Website, product information, online pages included in them, classification, arrangement and presentation of information and any other form of illustration included in them, in mailings and messages.

"Service" means the Website, including accompanying instructions and guidelines, other related products and services, accompanying personal support services, if and as provided, and any modification and/or correction of the above as may be completed by Scan2Remember from time to time at its sole discretion.

"Website Errors" means any disruption in Website availability caused by reasons not under Scan2Remember's direct control.

"You" and "Users" mean, among others, individuals and entities authorized by Scan2Remember to use the Service as well as your employees, consultants, contractors and agents and/or third parties with whom you conduct business.

"Products" means all products appearing on the Website.

"Your Data" means all data and/or electronic information submitted by you and/or collected by Scan2Remember during use of the Website.

PURCHASING PRODUCTS ON THE WEBSITE; PLACING ORDERS, PAYMENT, PRODUCT DELIVERY AND SHIPPING; INSTALLATIONS

Scan2Remember strives to ensure that all details, descriptions, and product images appearing on the Website are correct. However, it should be emphasized that the product appearance displayed on your device screen may differ from the actual appearance due to differences arising, among other things, from display settings and screen quality on your device. In any case, it will be clarified that product images appearing on the Website are for illustration purposes only unless otherwise specified and do not bind Scan2Remember in any way.

Payment on the Website may be made by credit card subject to credit company approval or in any other way as determined from time to time by Scan2Remember. It is clarified that Scan2Remember may change the payment methods and/or means and/or order placement methods at any time at its sole discretion and without prior notice, without users having any claims against it for this reason.

Delivery of products purchased on the Website for which full payment has been made may be done by shipping to a location chosen by the user according to shipping areas as determined by Scan2Remember as detailed on the Website. Scan2Remember may change delivery methods and/or shipping areas and/or shipping countries from time to time at its sole discretion and without prior notice, without users having any claims against it for this reason.

Product orders for shipping may involve shipping costs at a price that will appear on the Website, which are in addition to the total order cost of the products. Scan2Remember reserves the right to update shipping costs from time to time at its sole discretion and without prior notice, without users having any claims against it for this reason. Additionally, for orders to countries outside Israel, taxes including import taxes may apply, which will be added to the product price and completed by the customer. Additionally, note that there may be additional costs for transportation and/or installation of the product in addition to the product price itself.

There may be delays in delivery time due to reasons not dependent on the Website operator and not under its control, including but not limited to force majeure, sensitive security situation in the delivery area, extreme weather, natural disasters (earthquake, flood, etc.), other disasters (such as fire, road blockages, epidemics, etc.) and delays arising from strikes and/or orders from governmental authorities preventing temporary delivery, and the customer will have no claims against Scan2Remember for such delays. It is clarified that such delays will not exempt the customer from their obligation to pay for their order.

Scan2Remember will not be liable for delays not under its control and/or originating from the customer, including but not limited to difficulties in contacting the customer. Such delays will not be considered a breach of Scan2Remember's obligations to deliver the product, and such delays will not exempt the customer from their obligation to pay for their order. It should be noted that if within 30 days the products do not reach the customer not due to actions and/or omissions by Scan2Remember (for example, it will not be possible to contact the customer and/or the customer will not come to collect the product), then the customer will be considered as having waived their order and Scan2Remember may refuse to supply the product anymore, without the customer being entitled to any refund.

Product packaging will be done according to Scan2Remember's discretion, and the customer will have no claim against Scan2Remember for this reason.

Product prices on the Website are not necessarily identical to product prices anywhere else, including but not limited to Scan2Remember's business pages on social networks. In any case, the prices appearing on the Website are the determining prices for any purchase of products made through the Website.

It is clarified that products are supplied by Scan2Remember AS-IS and some require assembly and/or installation. Assembly and/or installation services are NOT provided by Scan2Remember, and if assembly and/or installation is needed, this will be the user's responsibility and at their expense. If the customer chooses to install and/or assemble the product independently, they bear responsibility for such installation and Scan2Remember will not be liable for any damage caused as a result. For the avoidance of doubt -- any defect in product installation arising from the customer's self-installation is the customer's responsibility, and Scan2Remember will have no liability regarding this and the customer will not be entitled to any refund in case of self-installation as mentioned.

ORDER MODIFICATION AND CANCELLATION, TRANSACTION CANCELLATION AND PRODUCT RETURNS

Scan2Remember's product return and transaction cancellation policy is subject to the provisions of the Consumer Protection Law, 5741-1981, and the customer may cancel their order and/or return products that reached them subject to the provisions below.

Scan2Remember emphasizes that the customer must check that the products received match the order details as made by them. If there is a mismatch between the products ordered and the products actually received (for example, dimensions of a certain product do not match the dimensions ordered), the customer must notify Scan2Remember within two business days of the mismatch. If the customer did not notify Scan2Remember at the stated time, the customer will be seen as having confirmed that there is a match between the order and delivery, and the customer will have no claims against Scan2Remember for this reason.

Transaction cancellation and product returns may be made within a period of up to 5 days from the date of order receipt. To cancel the transaction, the customer must contact Scan2Remember and notify of their desire to cancel the transaction. After receiving the customer's cancellation notice and if made at the stated time, Scan2Remember will coordinate with the customer the method of product return. It is clarified that it is the customer's responsibility to arrange product return to Scan2Remember and that product return will be at the customer's expense. For the avoidance of doubt, if the products have already been shipped, then the responsibility for return will be on the customer and Scan2Remember has no ability to stop a shipment that has already departed.

Upon receipt of returned products at Scan2Remember and subject to its examination of the product condition upon return and confirmation regarding their integrity, Scan2Remember will return the customer's money for the order when Scan2Remember may, at its discretion and subject to legal provisions, collect cancellation fees of up to 5% of the product value whose order was cancelled or 100 USD, whichever is lower, when the cancellation fee rate includes shipping costs if collected and clearing fees actually paid by Scan2Remember for executing the transaction, if paid. The provisions of this section regarding cancellation fees will not apply to cancellation made due to product defect ordered according to the provisions of the Defective Products Liability Law, 5740-1980 and/or mismatch between product characteristics as appearing on the Website and actual product characteristics and/or lack of product availability in inventory, when no cancellation fees will be collected from the customer, subject to Scan2Remember's examination of the customer's claims regarding mismatch and/or defect and/or lack of availability, as relevant.

Scan2Remember reserves its right to cancel a product purchase transaction on the Website if it transpires that there was a good faith error in the price of one of the products on the Website.

WARRANTY AND DISCLAIMER OF WARRANTY

Product inventory on the Website may change from time to time and therefore there may be shortages in some products appearing on the Website. In case of shortage in certain inventory, the customer will not be charged for their order for that product that was short in inventory.

Service Continuity Disclaimer: The Customer acknowledges and agrees that the QR code hosting services and digital memorial pages provided by Scan2Remember are dependent upon the Company's continued operation and business viability. In the event that Scan2Remember ceases operations, discontinues business activities, undergoes bankruptcy, liquidation, or is otherwise unable to maintain its digital hosting infrastructure for any reason whatsoever, the QR code functionality and associated digital memorial pages may become permanently inaccessible and non-functional.

No Guarantee of Perpetual Service: While Scan2Remember strives to provide reliable long-term digital hosting services, the Company makes no warranty, guarantee, or representation regarding the perpetual availability of digital memorial pages or QR code functionality. The Customer acknowledges that digital services are subject to technological, financial, and business risks beyond the Company's control.

Limitation of Liability for Service Termination: In no event shall Scan2Remember, its officers, directors, employees, or agents be liable for any damages, losses, or claims arising from the termination of digital hosting services, cessation of business operations, or inability to access digital memorial content. This limitation applies regardless of whether such termination is voluntary, involuntary, or due to circumstances beyond the Company's reasonable control.

Customer Responsibility for Data Backup: The Customer is solely responsible for maintaining backup copies of all content uploaded to digital memorial pages, including but not limited to photographs, videos, text, and other digital assets. Scan2Remember recommends that customers regularly download and preserve copies of their digital memorial content.

Advance Notice Provision: In the event of planned business closure or service discontinuation, Scan2Remember will make reasonable efforts to provide customers with thirty (30) days advance notice via email to the address provided during purchase. However, the Company shall not be liable for failure to provide such notice in cases of involuntary business closure, bankruptcy, or force majeure events.

If there is any warranty for the product, then for any malfunction and/or problem, contact should be made only to the warranty provider as detailed in the product warranty certificate, if any, and not to Scan2Remember which does not constitute a warranty service provider for any of the products unless explicitly stated in writing otherwise.

Scan2Remember makes every effort to ensure that product information appearing on the Website matches the sold product. However, sometimes there may be good faith errors regarding details and information about products as they appear on the Website, and therefore before purchasing the product, the details and components of each product should be read carefully. If in good faith a user was supplied a product that does not match its description on the Website, the user can contact Scan2Remember and arrange product return to Scan2Remember at no cost.

Scan2Remember does not undertake that links found on the Website, if any appear, will be functional and/or lead to an active internet site. The presence of a link to a certain site on the Website does not mean that the site content is reliable and/or complete and/or current, and Scan2Remember has no control over such content, therefore Scan2Remember will bear no liability in connection with this.

Scan2Remember is not liable for any damage caused to the customer as a result of Website purchase including but not limited to cases where the purchase including payment for it is made without the customer's consent and/or knowledge and/or incorrect entry of shipping address for the order and/or incorrect entry of payment details; as well as cases of communication malfunction due to actions and/or omissions by communication providers. Additionally, the customer undertakes to use ordered products according to their purpose and safely, and Scan2Remember will have no liability for any damage including bodily harm caused to the customer as a result of incorrect product use.

Product usage instructions, if any, should be read carefully. It is clarified that the ordering user is solely responsible for all product use and the product should not be used for purposes other than those for which it was created and sold.

DIRECT MAIL

Scan2Remember may offer Website users to join Scan2Remember's mailing list to offer them and inform them about Website sales, advertisements, innovations, personal benefits, and other messages that may update users about Scan2Remember's activity and various services, including through email messages and SMS (hereinafter: "Direct Mail").

For the avoidance of doubt, it is clarified that the provisions regarding direct mail are subject to legal provisions including the provisions of the Communications Law (Telecommunications and Broadcasting), 5742-1982.

INTELLECTUAL PROPERTY

All intellectual property rights, including moral rights, economic rights, copyrights, trademarks, trade names, patents, designs, trade secrets, and any other right in relation to products and the Website including but not limited to content, design, editing, and the manner of presentation and editing of information appearing on the Website and the Website itself including products offered for sale on the Website are reserved exclusively to Scan2Remember.

Without derogating from the above, the Website, online pages included in it, classification, arrangement and presentation of information, advertisements and mailings sent by Scan2Remember, including classification, arrangement and presentation of information and advertisements appearing in them and any other form of illustration included in the Website and mailings are the exclusive property of Scan2Remember.

The products and Website content may not be copied and/or duplicated and/or reproduced and/or prepared derivative works and/or modified and/or adapted in whole or in part and/or in products for distribution, publication, display, performance, transmission, broadcast, making available to the public, sale and/or any other action without obtaining written permission in advance from Scan2Remember.

The user undertakes not to publish the Content and/or part of it publicly, except under the conditions detailed on the Website. Additionally, the user undertakes not to publish publicly any product and/or output of information, whether printed or given as a file on magnetic media or in any other form and not to copy and/or duplicate and/or reproduce and/or prepare derivative works and/or modify and/or adapt the Website content in whole or in part for distribution, publication, display, performance, transmission, broadcast, making available to the public, sale and/or any other action without obtaining written permission in advance from Scan2Remember.

Ownership and intellectual property rights in third-party content, including images appearing on the Website, are the property of content owners, and may be subject to third-party terms of use that granted Scan2Remember a proper license regarding such content (hereinafter: "Third Party Agreements"). Scan2Remember does not claim ownership rights and takes no responsibility for any type of such content displayed on the Website. The user confirms that the terms of third-party agreements will bind them in connection with use they make of the Service, including any future changes in third-party agreements.

Scan2Remember respects third-party rights and takes necessary steps not to infringe any third-party rights. If third-party rights were harmed in good faith, intellectual property rights infringement can be reported to Scan2Remember via email at the details appearing in these Terms of Service.

USE OF PRIVATE INFORMATION AND SECURITY

Scan2Remember respects the privacy of Website users. Information regarding privacy policy can be found in the Privacy Policy appearing on the Website.

Scan2Remember's Website is secured using advanced security measures designed to ensure proper use and safe browsing on the Website and to maintain user privacy. Every Website and service user undertakes not to engage in any activity that could disrupt Website activity including but not limited to theft of user information and hacking of Website security mechanisms. Scan2Remember will act against any such activity in any legal way available to it including blocking user access to the Website and taking legal proceedings against the user if they act as mentioned.

External links to third-party websites not under Scan2Remember's responsibility may appear on the Website. Scan2Remember does not undertake that links found on the Website and/or in mailings and/or messages sent to users will be functional and lead to an active internet site. The presence of a link to a certain site on the Website does not mean that the site content is reliable and/or complete and/or current, and Scan2Remember will bear no liability in connection with this. Without derogating from the above, Scan2Remember is not liable for any damage, indirect or direct, caused to users and/or their property as a result of use and/or reliance on information and content appearing on websites reached through or via use or links existing on the Website.

TERM AND TERMINATION

This agreement will take effect on the day the user makes any use of the Website, and will continue until termination of Service use by the user or upon notice from Scan2Remember.

Scan2Remember may change these terms from time to time at its sole discretion. The responsibility to stay updated on such changes rests with the user by entering these Terms of Service from time to time. Use of the Service at any time constitutes agreement to the updated and amended terms, as they were at that time.

Scan2Remember reserves the right to change or discontinue the Service or part of it on the Website, without prior notice. In case of Service discontinuation, Scan2Remember will not be liable to the user or any third party for any damage or loss.

The provisions regarding intellectual property and disclaimer of liability will remain in effect after termination of user's Website use.

GENERAL, JURISDICTION AND NOTICES

These Terms of Service including the Privacy Policy constitute the entire agreement between the parties and supersede any agreement, proposal, or representation made previously, in writing or orally, regarding its subject matter. No change, correction, or waiver of a provision in this agreement will be valid unless made in writing and signed or approved electronically by the party against whom change, correction, or waiver is claimed.

The information and Service are offered to the user AS-IS, and the user agrees and confirms that Scan2Remember, its employees, managers, shareholders, or anyone on their behalf will not be liable for any damage, direct or indirect, caused to the user and/or third party related to the user due to use the user made of information and/or due to user reliance on information displayed on the Website.

These Terms of Service are governed exclusively by Israeli law. The exclusive jurisdiction for any matter regarding these Terms of Service and use is in the competent court in the Tel Aviv district only.

Any letter sent to Scan2Remember will be considered as having reached its destination upon sending via email when the sender has delivery confirmation from Scan2Remember.
